Madeleine McGee on Together SC's Board Leading by Example

I have to crow - just a little.

Last week, your Together SC Board kicked off its new fiscal year with an inaugural board meeting that was all about impact and “leading by example.”  We started by welcoming five new Board Members, all of whom attended (by phone or in person) an hour and a half long orientation led by our Board chair.  We’re a big believer in board member led orientation so I'm sharing our Orientation Agenda.
 
I know it’s just a piece of paper, but written member agreements adopted by the Board and signed by each member each year are an easy first step toward effective governance. Together SC’s Governance Committee and staff recently rewrote our agreement incorporating ideas from last year’s Board Leadership Summit. The Board’s first order of business was to review and adopt this new Board Member Agreement.  I would love to hear what you think.

While lots more was done, I want to personally thank the Board, and especially our Board Chair, Forrest Alton, for their thorough attention to my performance review.  It’s always helpful to know where you stand with the board and that you are all on the same page.  A quick reminder that evaluating the executive director is a Board responsibility as laid out in our Guiding Principles and Best Practices. And the first step MUST be adopting a written policy on how the review is to be done. Here’s our policy for evaluating the president.

Together SC Board Elections - Ballots Open from April 19 to May 3

One of your organization's rights (and responsibilities) as a nonprofit member of Together SC is to vote for a Board of Directors who will effectively lead Together SC in the years ahead.

This year's proposed slate includes five new and one returning members recommended by the Governance Committee to serve on Together SC's Board of Directors.

Together SC's bylaws require the Board to have no more than 21 and no less than 11 members. This year's Board will be in compliance with 15 members. The bylaws also require that the slate be approved by at least 10 percent of nonprofit members. Each active nonprofit member organization has one vote.
 
Ballots will go out by email April 19 to Executive Directors/CEOs (or to the primary contact on the member record if the ED/CEO is not listed). Your ballot must be submitted no later than 5 p.m. on May 3.

She is a licensed social worker, and was in 2017 elected Mayor of Lamar, SC.

Stacey never thought she would be running a homeless shelter much less taking one from the brink of closing to serving as a model for homeless services. Today, One80 Place is thriving and leading the way in ending homelessness. With experience in hospitality and the Chamber, Stacey has taken best practices from business and applied them to the nonprofit world. As CEO of One80 Place, Stacey believes that strong nonprofits are critical to the overall economy, not simply charities doing good work.

He has 14 years of experience managing federal grant programs including Housing Opportunity for Persons with AIDS (HOPWA), Ryan White and 330 FQHC programs. Carl is the 2017 honoree for the Fred Sheheen Award for Nonprofit Leadership.

JoAnn joined Central Carolina Community Foundation as President and CEO in 2009 after serving in sales leadership roles for a number of Fortune 500 companies. JoAnn works closely with her board of trustees and staff to develop and implement the vision and strategic direction of the Foundation. She leads a team dedicated to helping individuals, families, businesses and nonprofit organizations establish charitable funds to support causes they care about and make a difference in the Midlands and beyond. JoAnn is a 2013 Riley Diversity Fellow.

 *Ms. Kirby was appointed to the Board at its June 28, 2016 meeting to fill the unexpired term of Scott Graves. She now stands for election to her first full three-year term on the Board.

Our focus at SCANPO is not only to support the entire sector working together but also to connect and strengthen each individual organization’s relationship between Board and staff.

Strategies for Effective Board Governance

Hello, SCANPO friends!

Thanks to those of you who joined Madeleine and me during SCANPO’s Wednesday Webinar as we discussed the role and responsibilities of a Governance Committee and how you can create a great experience for all of your Board members. As Governance Chair of the Coastal Community Foundation (CCF) for the last three years and a former SCANPO Board member, I’ve spent a lot of time learning just what makes a successful committee. Below are a few key points from our podcast (which you can listen to here), as well as some helpful CCF and SCANPO resources for your reference.

First of all, what are the primary responsibilities of a Governance Committee? It’s not just about recruitment...

  • Determine how the Board operates – define and frequently review your by-laws.
  • Facilitate Board nominations and orientation – have a written and tested process.
  • Define Board policies – make sure your by-laws are keeping up with the growth of your organization.
  • Outline Committee roles and responsibilities – each Committee needs to know how it helps your organization’s mission, as well as the scope of its power.

Still, recruitment is a very important part of the Governance Committee. How can you make it a successful process?

  • Allocate sufficient time – this can be a year long process.
  • Have prerequisites / requirements for service – and be sure to write them down.
  • Pay attention to recruitment for committees – it’s not just about the overall Board.
  • Have agreed-upon written criteria each year to guide the diversity of your Board.
  • Bring in new members as a “class” once a year – have a well thought-out orientation.

My last big point is crucial for an effective Committee. How can you make the overall Board experience worthwhile?

  • Provide Board mentors – help new members feel welcomed, and utilize the experience of returning ones.
  • Continually check in with new members to see how they’re enjoying the experience.
  • Let Board members sit in on different Committees before deciding which to join.
  • Keep up Board education at every meeting – education should never stop!
  • Have conversations with members before they serve a second term – make it a peer-to-peer experience.
  • Interview members leaving the Board – what did they think of the experience, and how can you improve it for the future?

The Role of the Board Chair

I have had the honor of chairing a number of nonprofit boards and have learned much in the process.  When I step in as chair, I typically write a letter to the board sharing my thoughts on my role as chair. Madeleine thought you might find reading my typical letter helpful.   Ted

Dear Fellow Board Members.Ted Legasey

To help you understand me, let me share a little bit of my philosophy regarding boards. 

My personal view is that a chairperson’s role is as a leader among equals.  A good chairperson should be a facilitator who brings out the best in every board member in building a consensus from what can be very different points of view.   

The chairperson has to be fair to all—a good listener and a good communicator.  A good chairperson should also be open-minded and should encourage all board members to voice their views.  To me this is critical because the whole concept of a board is based on the belief that the best decisions are made after full discussion and debate by people with different types of experiences.  

The chairperson also has to be efficient in running meetings and moving us quickly without discouraging board members from sharing their views.  The chair has to professionally interface with staff and various constituents and reflect the consensus of the entire board—even when it might differ from their own personal view on a matter.   

Also, the chairperson is not the CEO, and should not intrude on the CEO’s responsibilities. Even though the board does have a responsibility for oversight, we must observe a line of demarcation between the responsibilities of the board and those of the CEO. Indeed, if we work well as a board then we will serve as a resource to the CEO that will help enable her or him to be truly successful in carrying out assigned responsibilities.

Personally, my style is to encourage open communication and debate.  I prefer not to spend much time in board meetings on “transactional” matters that can be handled efficiently in advance or outside the meetings, so that we will have a much time as possible for substantive discussion.  You will undoubtedly see me trying to move our meetings in this direction. 

I believe that board committees are very valuable and should do their substantive work in advance of board meetings so that crisp reports can be made to the entire board.  And finally, I encourage each of you to let me know at any time if you have suggestions for better ways to operate as a board.  I look forward to working with all of you to accomplish this organization’s ambitious vision.

 Each of us has agreed to serve on this board and give of our time, talent, and treasure for our own special reasons.  In common, I suspect, is that we share a commitment to the broad mission area in general, and to this organization in particular.  Today, neither is without their fair share of problems.  This means our service can have great value. 

I look forward to working with each of you to ensure this organization achieves its full potential.

Ted is the board chair of the Charleston Promise Neighborhood and a member of the boards of the USAFA Endowment, the Trident United Way (TUW) and the Tri-County Cradle-to-Career Collaborative (TCCC). He is also a member of the TCCC Executive Committee. Ted was a founding member of SVP Charleston, which is a social venture philanthropy organization, and a founder of Book Buddies, which is the predecessor organization of Reading Partners Charleston.

Ted’s passion is helping to bring about fundamental improvement in the public education of children from lower income households, and he is co-chairing the Movement for Effective Schools for All Charleston Children.

SCANPO hosting Summit just for CEOs and Board Members

Even with over 700 attendees, the 2016 Summit's reach to nonprofit board members was limited. And yet, many of you have asked for us to offer something for board members. We heard you loud and clear! So, here it is.

Our first regional Board Summit will occur on Friday, April 22. And, we're doing it in collaboration with an institution known for creating leaders - The Citadel Foundation.

This Board Leadership Summit is open to board members and CEOs of SCANPO member organizations. Highlights include:
  • Conversation with former Mayor Joe Riley and his sister, Jane Riley-Grambrell, about the Board's role in public-private partnerships;
  • Session on "How Boards Lead Today" with Susan Meier, a national board governance expert;
  • Breakout conversations that build upon popular Summit sessions.
